By accessing or using WanzieSend ("Service", "Platform"), you ("User", "Customer", "You") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

3. Account Registration and Eligibility

3.1 Eligibility

You must meet the following requirements to use this Service:

  • Be at least 18 years old
  • Represent a legitimate business entity
  • Have the legal authority to bind your organization to these Terms
  • Not be prohibited from using the Service under applicable laws

3.2 Account Information

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and must notify us immediately of any unauthorized use of your account. You are fully responsible for all activities under your account.

4. WhatsApp Business API Compliance

4.1 WhatsApp Policies

You agree to comply with all WhatsApp Business Policies, including but not limited to:

  • WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • WhatsApp Brand Guidelines
  • WhatsApp Developer Terms

4.2 Message Content Requirements

All messages must comply with WhatsApp's content policies. Marketing messages require approved message templates. You must obtain proper consent before messaging contacts. Prohibited content includes spam, harassment, illegal content, or misleading information.

4.3 API Usage

WhatsApp API usage fees are charged separately by Meta/WhatsApp. You are responsible for all API costs incurred through your account. We do not markup WhatsApp API pricing. API rate limits and restrictions apply as set by WhatsApp.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use WanzieSend for legitimate business communications, including:

  • Customer service and support
  • Marketing campaigns with proper consent
  • Transactional notifications
  • Business announcements and updates

5.2 Prohibited Uses

You may NOT use WanzieSend for:

  • Sending spam or unsolicited messages
  • Harassment, threats, or abusive content
  • Illegal activities or fraudulent purposes
  • Sharing malware, viruses, or harmful code
  • Impersonating others or providing false information
  • Circumventing platform security measures
  • Violating intellectual property rights
  • Adult content or gambling-related messaging

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you upload to the platform. You grant us necessary rights to process your data to provide the Service. You are responsible for ensuring you have rights to use uploaded contact data. You must comply with applicable privacy laws (GDPR, CCPA, etc.).

6.2 Contact Consent

You must have explicit consent to message all contacts in your database. You must provide easy opt-out mechanisms in your messages and honor opt-out requests immediately. You are solely responsible for maintaining consent records.

7. Payment Terms

7.1 Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise specified. Price changes require 30 days advance notice. Late payments may result in service suspension.

7.2 WhatsApp API Costs

WhatsApp API usage costs are separate from platform subscription fees. API costs are billed based on actual usage through your connected WhatsApp Business Account. You are responsible for monitoring and managing your API usage and costs.

7.3 Taxes

You are responsible for all applicable taxes related to your use of the Service.

8. Service Availability and Support

8.1 Service Level

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible. We provide customer support during business hours.

8.2 Third-Party Dependencies

Our Service depends on WhatsApp's Business API availability. Service interruptions may occur due to WhatsApp API issues beyond our control. We are not liable for third-party service disruptions.

9. Intellectual Property

9.1 Our Rights

WanzieSend platform, including all software, designs, and content, is owned by us. Our trademarks, logos, and brand elements are protected intellectual property. You may not reverse engineer, copy, or create derivative works of the platform.

9.2 Your Rights

You retain all rights to your content and data. You grant us a limited license to use your data solely to provide the Service.

10. Limitation of Liability

10.1 Disclaimer

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10.2 Liability Limits

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

We are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • WhatsApp API costs or charges
  • Third-party actions or service interruptions
  • Content or conduct of other users

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your messaging content or contact database
  • Claims related to your WhatsApp marketing activities

12. Termination

You may terminate your account at any time by providing written notice or through your account settings.

12.2 By Us

We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or harmful activities
  • WhatsApp API policy violations
  • Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your access to the Service will cease. You remain liable for all accrued fees. We may delete your data after a reasonable retention period. Sections of these Terms that should survive will remain in effect.
