WanzieSend Vendor Partner Agreement
1. Acceptance of Terms
By registering as a WanzieSend Vendor Partner ("Vendor", "Partner", "You"), you agree to be bound by this Vendor Partner Agreement ("Agreement"). This Agreement governs your relationship with WanzieSend, operated by [Company Name] ("WanzieSend", "We", "Us", "Our").
2. Vendor Partnership Program
2.1 Program Description
WanzieSend's Vendor Partnership Program allows qualified businesses to:
- White-label our WhatsApp marketing platform
- Resell our services under your own brand
- Provide WhatsApp marketing services to your clients
- Access dedicated vendor support and resources
- Earn revenue through service markup and fees
2.2 Vendor Qualifications
To participate as a Vendor, you must:
- Operate a legitimate business entity
- Have experience in digital marketing or related services
- Maintain professional business standards
- Comply with all applicable laws and regulations
- Meet minimum performance standards as defined by WanzieSend
3. Vendor Rights and Responsibilities
3.1 Rights Granted
WanzieSend grants you a non-exclusive, non-transferable right to:
- Access the WanzieSend platform for your clients
- Use WanzieSend branding materials as provided
- Market WanzieSend services under your business name
- Receive technical support and training materials
- Access vendor-specific features and tools
3.2 Vendor Responsibilities
You agree to:
- Maintain accurate business information and credentials
- Provide competent service to your clients
- Ensure all clients comply with platform Terms of Service
- Handle first-level customer support for your clients
- Maintain professional standards in all client interactions
- Keep your vendor account information current and accurate
4. Client Management and Compliance
4.1 Client Onboarding
You are responsible for properly onboarding your clients. All clients must agree to WanzieSend's standard Terms of Service. You must verify client business legitimacy before providing access and ensure clients understand WhatsApp Business Policy requirements.
4.2 Client Compliance Monitoring
You must monitor your clients' usage for policy compliance and report any suspected violations to WanzieSend immediately. You are responsible for educating clients about acceptable use policies. Failure to manage client compliance may result in vendor account suspension.
4.3 WhatsApp API Compliance
All client activities must comply with WhatsApp Business Policies. You must:
- Ensure clients obtain proper messaging consent
- Verify clients use approved message templates
- Train clients on WhatsApp compliance requirements
- Monitor for policy violations and take corrective action
5. Financial Terms
5.1 Revenue Sharing
You set your own prices for services provided to clients. You are responsible for collecting payments from your clients. WanzieSend charges you wholesale rates for platform usage. You may markup services at your discretion.
5.2 Payment Terms
Vendor accounts are billed monthly in advance. Payments are due within 30 days of invoice date. Late payments may result in service suspension. All fees are non-refundable except as otherwise specified.
5.3 WhatsApp API Costs
WhatsApp API usage costs are passed through at cost. You are responsible for monitoring and managing client API usage. You may markup API costs for your clients. You remain liable for all API costs incurred by your clients.
6. Branding and Marketing
6.1 White-Label Rights
You may remove WanzieSend branding from client-facing interfaces and use your own logo and branding materials. Custom branding options are available with certain plans. Some vendor identification may remain in technical documentation.
6.2 Marketing Guidelines
You may market WanzieSend services under your brand but must not make false or misleading claims about service capabilities. You must comply with advertising standards and regulations. You may not use WanzieSend's name in paid advertising without consent.
6.3 Trademark Usage
Limited trademark usage rights are granted for legitimate business purposes. You may not register domain names or trademarks containing "WanzieSend". You must comply with our brand guidelines when using our marks. Trademark rights terminate immediately upon Agreement termination.
7. Data and Privacy
7.1 Client Data Handling
You are a data processor for your clients' data. You must:
- Comply with all applicable privacy laws (GDPR, CCPA, etc.)
- Maintain appropriate data security measures
- Have proper data processing agreements with your clients
- Implement technical and organizational safeguards
7.2 Confidentiality
You must maintain confidentiality of proprietary WanzieSend information and may not disclose vendor pricing, technical details, or business strategies. Confidentiality obligations survive termination of this Agreement. You must ensure your employees and contractors maintain confidentiality.
8. Support and Training
8.1 Vendor Support
We provide:
- Dedicated vendor support channel with priority response times
- Technical documentation and integration assistance
- Regular training webinars and educational resources
- Account management support for qualified high-volume vendors
8.2 Client Support Responsibilities
You provide first-level support to your clients. WanzieSend provides technical platform support as needed. Escalation procedures are available for complex technical issues. You must maintain reasonable support response times for your clients.
9. Performance Standards
9.1 Service Level Requirements
You must:
- Maintain professional service standards with all clients
- Respond to client inquiries within reasonable timeframes
- Ensure client satisfaction and platform usage compliance
- Meet minimum monthly usage or revenue thresholds (if applicable)
9.2 Performance Monitoring
WanzieSend may monitor vendor performance and client satisfaction. Consistently poor performance may result in vendor status review. We may request client feedback or conduct satisfaction surveys. Performance improvement plans may be required for underperforming vendors.
10. Limitation of Liability
10.1 Platform Service Disclaimers
WANZIESEND PROVIDES THE PLATFORM "AS IS" WITHOUT WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10.2 Liability Limitations
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR:
- Your client relationships or business losses
- Third-party service interruptions (including WhatsApp API)
- Client non-payment or disputes
- Indirect, consequential, or punitive damages
- Loss of profits or business opportunities
11. Indemnification
11.1 Your Indemnification Obligations
You agree to indemnify WanzieSend from claims arising from:
- Your provision of services to clients
- Your clients' use of the platform
- Your violation of this Agreement
- Your clients' violation of platform Terms of Service
- Your marketing activities or representations
11.2 Mutual Indemnification
WanzieSend will indemnify you from claims directly caused by platform defects or our gross negligence, subject to limitation of liability provisions.
12. Termination
12.1 Termination by You
You may terminate this Agreement with 30 days written notice. You remain liable for all outstanding fees and obligations. Client transitions must be handled professionally.
12.2 Termination by WanzieSend
We may terminate this Agreement immediately for:
- Material breach of Agreement terms
- Non-payment of fees
- Client compliance violations
- Failure to meet performance standards
- Illegal or unethical business practices
12.3 Effect of Termination
Upon termination:
- Your vendor access will be discontinued
- Existing client accounts may be transitioned
- Outstanding fees remain due and payable
- Confidentiality and indemnification obligations survive
- You must cease use of WanzieSend trademarks and materials
13. Intellectual Property
13.1 WanzieSend IP
WanzieSend retains all rights to platform technology and materials. You receive limited license rights only as specified in this Agreement. You may not reverse engineer or create derivative works. License rights terminate upon Agreement termination.
13.2 Your IP
You retain rights to your proprietary materials and client relationships. You grant WanzieSend limited rights to use your materials as needed to provide services. You represent that you have rights to all materials you provide.
14. Modifications and Updates
14.1 Agreement Changes
WanzieSend may modify this Agreement with 30 days notice. Material changes require your continued consent to maintain vendor status. Continued use after modifications constitutes acceptance.
14.2 Platform Updates
Platform features and capabilities may be updated regularly. New features may be subject to additional terms or fees. Legacy features may be deprecated with reasonable notice.
15. General Provisions
15.1 Governing Law
This Agreement is governed by the laws of Cameroon.
15.2 Dispute Resolution
Disputes shall be resolved under Cameroon rules.
15.3 Independent Contractors
You are an independent contractor, not an employee or agent of WanzieSend.
15.4 Entire Agreement
This Agreement constitutes the complete agreement between the parties.
15.5 Assignment
You may not assign this Agreement without written consent. WanzieSend may assign without restriction.
